Eric W. Nodiff joined Schaeffer Venaglia Handler & Fitzsimmons, LLP today as a Partner to lead its corporate practice. Mr. Nodiff has more than 35 years of experience as in-house and outside counsel to companies in various industries. Most recently, Mr. Nodiff served as Executive Vice President and General Counsel of Cantel Medical (NYSE: CMD), a global medical device company with $1 billion in annual revenue, where he established the in-house legal function. As General Counsel over the past 15 years, Mr. Nodiff led the legal function with an emphasis on mergers, acquisitions and other corporate transactions, employment/HR matters, significant distribution agreements and other contracts, general corporate matters, SEC compliance, litigation management and dispute resolution.
Mr. Nodiff also provided advice on creating and maintaining a culture of high integrity within organizations. He is an expert on the Foreign Corrupt Practices Act (FCPA) and numerous other international laws and regulations addressing corruption. In particular, he has provided worldwide live and video employee training on anti-corruption in the U.S., Canada, England, Germany, Italy, Singapore, Holland and China.
Prior to joining Cantel, Mr. Nodiff was a partner at Dornbush Schaeffer Strongin & Venaglia, LLP, where he served as outside general counsel to small and medium sized public and private companies and advised on a broad range of corporate and securities transactions including mergers and acquisitions, public and private offerings, financing transactions, software licensing, employment matters, commercial contracts, and other corporate transactions.
At the firm, Mr. Nodiff will advise the firm’s corporate clients on the full spectrum of legal issues that in-house attorneys typically face – contract preparation and negotiation, acquisitions, employment matters, equity and debt financing, compliance and the like. Importantly, having served as an executive and senior advisor in a global public company, he is business-savvy and a strategic thinker providing practical, pragmatic advice on issues facing companies on a daily basis.
Mr. Nodiff, who resides in Florida, is also active with not-for-profit organizations, serving on boards and providing legal advice. He was the founder and President of The Giving Circle of Lower Westchester (serving the food insecure) and currently serves as a director of Engineering World Health (assists hospitals that serve resource-poor communities of the developing world) and provides advice to PRECEDE Consortium (international effort to improve early detection and survival rates for pancreatic cancer).
Mr. Nodiff received his Juris Doctor from Hofstra University School of Law School, where he served as Associate Editor on the Hofstra Law Review and was awarded Graduate with Distinction and Moot Court Honors.
